Terms and Conditions


Please read this End-User License Agreement ("Agreement") carefully before using the Service, the Cloud and the Desktop application ("Application") and this site.

By using the Application, you are agreeing to be bound by the terms and conditions of this Agreement.

This Agreement is entered into by and between you and InterpretBank, regarding your use of this site and the Application. By using the Application, you are entering into this Agreement and indicating that you agree to follow and be bound by these terms. IF YOU DO NOT ACCEPT ALL OF THESE TERMS, DO NOT USE THIS SITE AND THIS APPLICATION. If you do not agree to the terms of this Agreement, do not download, install or use the Application.

License

InterpretBank grants you a revocable, non-exclusive, non-transferable, limited license to download, install and use the Application solely for your personal use strictly in accordance with the terms of this Agreement.

Subscription and perpetual license

InterpretBank is offered as a subscription or as a perpetual license. All features of InterpretBank are included during the subscription time or, in case of a perpetual license, during the validity of the PRO Pack. This includes AI features, WebApp, update/upgrades, and remote assistence.

In case of a perpetual license, an active PRO Pack is required to access services such as, but not limited to, WebApp, AI Translation, automatic glossary creation, easy web-based glossary sharing, free updates/upgrades, remote support including reactivation of the Desktop license. Such services are not accessible without an active PRO Package. The PRO Package is not included in the regular perpetual license and needs to be purchased separately. Information on how to purchase the PRO Package are available on our website. With a perpetual license the user has the right to use the purchased version installed on the computer indefinitely. Newer versions are not allowed and updating/upgrading of InterpretBank without a valid PRO pack to a version number newer than the one released at the moment of validity of the PRO Pack contitutes a breach of these terms. Installers for older versions of InterpretBank are not available.

The user can deactivate the license on an old computer and activate it on a different computer, provided the the user remains the same. The License Key is not a floating licence and can not be used to activate different installations. The deactivation of a license key from a computer and its activation on a different computer is only allowed in order to permanently move the installation on a new machine, for example in case of buying a new computer. Frequent change of activated machines constitutes a breach of these terms and will lead to an automatic block of new installations.

The number of parallel installations allowed with a single License Key is regulated by the purchased license key. Normally, this allows the installation of the Application on a single machine. An higher number of parallel installations is possible if a higher number of installations is allowed by the license key.

Service provision

Server-based services, such as WebApp, translation suggestions, etc. are accessible only during the validity period of a Subscription or, in case of a perpetual license, of a valid PRO Pack.

InterpretBank does not grant any compatibility with different OS than the one indicated on the Webpage of InterpretBank at the moment of purchase. If the user updates the OS or change the computer with a different OS, the purchased version of InterpretBank might not work, and an updated version might be needed. To obtain an update, an active subscription or, in case of a perpetual license, of a valid PRO Pack are required. InterpretBank might stop its operation. In this case, updates for future OS will not be available.

The service InterpretBank ASR (Speech recognition) is of offered "as if" for experimental and non-productive use and is not part of the purchased service.

Termination of the Subscription or of the services connected to a PRO Pack

We may terminate or suspend access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability. The PRO Pack is not extended automatically. A new PRO Pack needs to be purchased and activated upon termination of the perevious one if the Client desires to continue to use the services requiring a PRO Pack.

Refund policy

We are unable to provide refunds or exchanges for mistaken purchases, and/or if you don't like the product after activation of a Perpetual license, a Subscription or a PRO Pack. When you purchase digital content in our shop, at the time of your purchase, you consent to InterpretBank beginning with the performance of its obligations immediately, before the cancellation period ends, and you acknowledge that you will thereby lose your right to cancel at that point. We are unable to issue refunds for the unused portion of your subscription or PRO Pack. We encourage you to use our free trial for 14 days before performing a purchase.

InterpretBank ASR: Automatic speech recognition

InterpretBank ASR is offered 'as if' for experimental and research purposes. Your audio may be processed online by third party servers. No liability for confidential information and any kind of information that is shared through the service. The service may be suspended or discontinued at any time without any notice. We do not save any kind of user related information if not for the period of time necessary to deliver the service. This feature is experimental.

Private Cloud and WebApp

The Private Cloud is a private space where user's with a valid Subscription or Perpetual License (active PRO Pack) can upload their glossary database and access it from any device, using a Web Browser. InterpretBank does not use directly or idirectly the data uploaded to the Private Cloud. The size of the database that can be uploaded is limited in size.

Support

Support is available only for clients with an active Subscription or a Perpetual license with active PRO Pack. Support is offered remotely from Mo-Fr 9:00-17:00 German Time. German holidays apply.

Newsletter

We save your email only to send you our newsletter with information about InterpretBank. We do not share your email with anybody. You can stop receiving our newsletter at anytime by simply clicking on the dedicated link in the newsletter mail.

Restrictions

You agree not to, and you will not permit others to: License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose or otherwise commercially exploit the Application or make the Application available to any third party. You agree that you will use the Application in compliance with all applicable local, state, national, and international laws, rules and regulations. You shall not, shall not agree to, and shall not authorize or encourage any third party to: (a) use the service to harass other users; (b) prevent others from using the Service; (c) use the Service for any fraudulent or inappropriate purpose. Any violation of the above may result in immediate termination of this Agreement, and may subject you to state and federal penalties and other legal consequences. InterpretBank reserves the right, but shall have no obligation, to investigate your use of the Service in order to determine whether a violation of the Agreement has occurred or to comply with any applicable law, regulation, legal process or governmental request.

Refund policy

Terms and conditions of the vendor (Digital River, Köln, Germany) apply. No refund is possible after a license has been activated or a PRO Pack code has been reedemed.

Modifications to Application

InterpretBank reserves the right to modify, suspend or discontinue, temporarily or permanently, the Application or any service to which it connects, with or without notice and without liability to you.

Term and Termination

This Agreement shall remain in effect until terminated by you or InterpretBank.

InterpretBank may, in its sole discretion, at any time and for any or no reason, suspend or terminate this Agreement with or without prior notice. This Agreement will terminate immediately, without prior notice from InterpretBank, in the event that you fail to comply with any provision of this Agreement. You may also terminate this Agreement by deleting the Application and all copies thereof from your mobile device or from your desktop.

Upon termination of this Agreement, you shall cease all use of the Application and delete all copies of the Application from your mobile device or from your desktop.

Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

Warranty

InterpretBank does not represent that the Service is reliable, accurate, complete, or otherwise valid. THE SERVICE IS PROVIDED "AS IS" WITH NO WARRANTY OF ANY KIND AND YOU USE THE SERVICE AT YOUR OWN RISK. InterpretBank EXPRESSLY DISCLAIMS ANY WARRANTY, EXPRESS OR IMPLIED, REGARDING THE SERVICE, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT.

Damages

UNDER NO CIRCUMSTANCES WILL InterpretBank BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH USE OF THE SERVICE WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES SHALL InterpretBank BE LIABLE TO YOU FOR ANY AMOUNT FOR SERVICES RENDERED PURSUANT TO THIS AGREEMENT.
